Descriere

  • Set legal strategy for business development transactions and advise on complex deal structures.
  • Anticipate market, regulatory, and industry developments to manage legal and business risk.
  • Oversee the structuring, drafting, and negotiation of complex licensing, collaboration, M&A, equity investment, and divestiture deals.
  • Direct legal due diligence, including its scope, escalation standards, and coordination with specialist teams.
  • Select and oversee external counsel, negotiate fees, and manage legal spending.
  • Manage transaction legal support, from deal intake and staffing to diligence escalation, negotiation standards, and portfolio execution.
  • Lead and develop the business development transactions legal team.
  • Oversee performance management and talent development.
  • Manage significant enterprise legal exposure, including escalation and resolution strategies for material disputes.
  • Build organizational capabilities through templates, playbooks, escalation protocols, training, and continuous improvement.
  • Provide practical legal advice consistent with Bristol Myers Squibb’s mission and values.

Cerințe

  • Hold a J.D. and be admitted to a state bar.
  • Have at least 15 years of legal experience.
  • Bring experience leading, drafting, and negotiating complex agreements in the biopharmaceutical or life sciences industry.
  • Know the biopharmaceutical or life sciences sector, including transaction structures, development and commercialization models, and regulatory requirements.
  • Show a track record of leading large, complex, high-risk transactions and advising senior executives.
  • Have experience leading senior attorneys and/or managers in a matrixed organization.
  • Manage multiple high-priority projects in a fast-paced setting while maintaining attention to detail.
  • Apply sound judgment and strategic thinking when navigating ambiguity.
  • Communicate with executive presence and influence and advise senior stakeholders.
  • Demonstrate strong problem-solving and risk assessment in cross-functional, matrixed organizations.
  • Act with high integrity and commitment to BMS values.
