Commercial Contracts Manager

Manage negotiations and contract playbooks for Nooks’ classified infrastructure business, overseeing agreements, lifecycle records, and deal-cycle reporting.

Description

  • Manage commercial contracts from first draft through signature, including amendments and revisions.
  • Review, revise, and negotiate customer, vendor, and supplier agreements, including service agreements, NDAs, and teaming agreements.
  • Resolve non-material terms within guidelines; recommend how to handle material terms such as price and duration to the VP of Growth.
  • Develop and maintain the commercial contract playbook and templates with outside counsel.
  • Train the Growth team on the playbook’s positions.
  • Prepare proposal contract content, including terms, exceptions, representations, and certifications.
  • Keep agreement records complete in a contract lifecycle management tool, including signed versions, approvals, key dates, and renewal triggers.
  • Report contract cycle times and playbook deviations to the VP of Growth.
  • Work daily with the Growth team and negotiate directly with customer legal and procurement teams.
  • Follow outside counsel’s legal direction and refer pricing, government contracts, regulatory flow-down clauses, and security classification requirements to their respective owners.
  • Travel occasionally for company events and selected customer negotiations.

Requirements

  • At least five years of independently reviewing, revising, and negotiating commercial agreements.
  • Working knowledge of core commercial terms, including liability limits, indemnification, insurance, termination, service levels, and payment.
  • A track record of negotiating directly with customer legal and procurement teams.
  • Ability to understand business needs and translate them into contract terms.
  • Experience drafting or maintaining contract templates or playbooks with defined standard and fallback positions.
  • Clear, plain-language writing that explains contract risk to non-lawyers and provides actionable escalation recommendations.
  • Ability to work independently while seeking guidance from Legal, Growth, and Government delivery teams.
  • Experience contracting with defense contractors or other cleared-industry customers.
  • Authorization to work in the United States.
  • A J.D. or paralegal certification is highly preferred.
  • Experience managing contracts through a contract lifecycle management (CLM) system or structured repository is a plus.
  • An active security clearance is preferred but not required.
