Associate General Counsel, Insurance Transactions & Third-Party Capital

Advise Everest’s insurance and reinsurance businesses on third-party capital, insurance-linked securities, reinsurance, M&A, and capital markets transactions. Support strategic initiatives through legal guidance, transaction management, and cross-functional collaboration.

Descriere

  • Advise Mt. Logan’s third-party capital management team on insurance-linked securities offerings and collateralized reinsurance vehicles.
  • Counsel stakeholders on reinsurance elements of strategic and capital markets transactions.
  • Provide technical guidance and oversight for legal advice delivered to Mt. Logan personnel.
  • Draft or review key ILS transaction documents and related business proposals.
  • Participate in meetings and maintain communication with Mt. Logan management.
  • Oversee the engagement and workflow of external legal counsel.
  • Help create and refine legal policies and procedures.
  • Perform legal research and deliver analytical support.
  • Prepare monthly reports, quarterly reviews, and other requested analyses.
  • Collaborate with outside counsel to maintain a high-quality work product.
  • Contribute to urgent, high-profile projects supporting Everest Bermuda’s strategic priorities.
  • Support transactions and compliance activities across Investments, Treasury, Securities, and Capital Solutions.
  • Advise on legal matters, draft and review documents, manage due diligence, and provide transaction support for M&A, insurance and reinsurance matters, capital markets activity, and cross-functional initiatives.
  • Report developments to senior attorneys and coordinate with paralegals and compliance professionals.

Cerințe

  • At least six years of experience at a top-tier law firm and/or in-house with a major insurance or reinsurance company.
  • Financial services experience is preferred.
  • Substantial experience advising on and supporting complex insurance, corporate, investment management, and/or reinsurance transactions.
  • Admission and active good standing with the New Jersey, New York, or another U.S. state bar association.
  • Background in insurance or reinsurance transactions.
  • Experience structuring bespoke and other specialized reinsurance solutions.
  • Experience with catastrophe bonds and insurance-linked securities.
  • Capital markets experience.
  • Experience with collateralized sidecars or third-party capital transactions is preferred.
  • Experience advising business clients on complex issues and emerging events.
  • Strong negotiation and organizational capabilities.
  • Sound analytical judgment.
  • Excellent written and verbal communication skills.
  • Dependable, detail-oriented, and collaborative approach to work.
