Descriere

  • Oversee the full contracting process for customer, partner, vendor, and other commercial agreements.
  • Draft, review, negotiate, and administer SaaS and software licenses, MSAs, SOWs, professional services agreements, NDAs, procurement and vendor contracts, partner, reseller and subcontractor agreements, amendments, renewals, and order forms.
  • Lead contract negotiations with customers, vendors, partners, and their legal and procurement teams.
  • Assess proposed terms for legal, commercial, operational, financial, security, and compliance risks.
  • Negotiate terms covering intellectual property, licensing, warranties, indemnification, liability limits, confidentiality, data protection, insurance, payment, termination, service levels, and related commercial matters.
  • Work with Sales to complete contracts promptly and support revenue goals while preserving risk controls.
  • Coordinate contract work with Finance, IT, Engineering, Operations, and other internal teams.
  • Refer significant or unusual legal matters to the Director of Legal Operations.
  • Maintain contract templates, playbooks, clause libraries, approval matrices, and negotiation guidance.
  • Track executed agreements and key obligations, including renewals, notice periods, pricing commitments, reporting requirements, and other milestones.
  • Develop scalable contracting practices, improve visibility into commitments, and ensure material risks receive appropriate review.

  • Experienced Contracts Manager with a practical, business-minded approach.
  • Experience supporting a technology company that provides software, SaaS, and professional services.
  • Primarily, experience in the aerospace and defense industry.
  • Ability to oversee the complete contract lifecycle, from initial review and negotiation through execution, administration, renewal, and closeout.
  • Ability to negotiate directly with sophisticated customers and vendors.
  • Ability to recognize which issues need escalation and which can be resolved using company playbooks and sound business judgment.
  • Ability to work independently in a fast-paced technology environment.
  • Knowledge of intellectual property, licensing, warranties, indemnification, liability limits, confidentiality, data protection, insurance, payment terms, termination rights, and service levels.
