General Counsel - Deep Technology (Hybrid, United States)

Lead legal strategy, financing, governance, commercialization, and legal operations for a Bay Area deep technology company. Advise the CEO, executive leadership, and Board while developing the legal function and team.

Description

  • Act as the CEO’s senior legal adviser, supporting the CFO and executive team on strategy, financing, and business execution
  • Lead and strengthen the legal function by evaluating the existing team, defining responsibilities, mentoring colleagues, and expanding capabilities
  • Advise the Board and its committees on corporate governance, fiduciary duties, and processes for a complex organization
  • Direct venture capital financings and other significant corporate finance transactions
  • Structure and negotiate strategic partnerships and complex commercial agreements with major technology companies
  • Support data center and infrastructure projects, including site arrangements, project agreements, and related financing
  • Provide legal guidance on new business initiatives and commercialization opportunities involving optical switching technology
  • Oversee intellectual property matters in collaboration with internal specialists and external counsel
  • Guide government contracting, public-sector engagements, compliance programs, and security obligations
  • Develop legal policies, contracting workflows, playbooks, and technology while improving systems and information management
  • Manage external counsel and legal budgets while expanding internal legal capabilities
  • Report to the CEO and collaborate closely with C-level leaders and the Board
  • Lead a legal team of approximately six people

Requirements

  • Juris Doctor degree from an accredited law school
  • Active membership in good standing with at least one U.S. state bar
  • Extensive legal leadership experience in technology companies, ideally within semiconductors, computing, networking, or another deep technology sector
  • Substantial experience in a startup or similarly entrepreneurial, fast-moving environment
  • Demonstrated success advising executives and Boards on corporate governance and material business decisions
  • Previous General Counsel experience is preferred; senior deputy counsel candidates with comparable scope and executive credibility will also be considered
  • Strong background negotiating complex commercial agreements and strategic partnerships with sophisticated counterparties
  • Experience handling venture financings or other significant corporate finance transactions
  • Ability to advise on business structuring and commercialization across corporate, commercial, and intellectual property matters
  • Experience building, developing, and evaluating legal teams and deploying specialist resources effectively
  • Strong business judgment, commercial acumen, and ability to communicate clearly with technical and non-legal stakeholders
  • Collaborative and accessible leadership approach, with the confidence to identify issues, recommend solutions, and lead cross-functional initiatives
