Contract Specialist at Paylocity (Remote, U.S.)

Support Paylocity’s cloud HR and payroll software business through commercial contract drafting, review, and negotiation. Manage deal intake, legal playbooks, stakeholder coordination, and contracting workflows.

Description

  • Support Paylocity’s legal team and commercial operations.
  • Draft, redline, negotiate, and manage service agreements, vendor contracts, statements of work, partnership agreements, amendments, NDAs, and related legal documents.
  • Manage a high volume of contract negotiations alongside commercial counsel.
  • Organize contract intake and the deal pipeline, including prioritization and stakeholder response timelines.
  • Assess contract terms, conditions, and carve-out strategies to overcome negotiation barriers while managing risk.
  • Use and help develop legal playbooks and negotiation reference guides.
  • Review and redline agreements independently, escalating non-standard positions when necessary.
  • Help improve contracting policies, procedures, contract lifecycle management, and related initiatives.
  • Coordinate legal guidance and work with internal and external stakeholders.
  • Lead internal calls covering deal structure, outstanding issues, and contract support.
  • Conduct live negotiations for appropriate low-complexity transactions.
  • Advise internal clients on deal cycles, pipeline status, and request urgency.
  • Develop strong relationships and maintain clear communication with internal clients.
  • Support additional documents and general legal projects as needed.

Requirements

  • At least three years of experience reviewing, drafting, and negotiating contracts.
  • Experience with SaaS and technology agreements supporting vendor transactions or procurement is preferred.
  • Bachelor’s degree.
  • A JD is preferred but not required.
  • Proficiency with Word and Excel.
  • Strong organizational and time-management abilities.
  • Willingness to collaborate in a fast-moving, evolving technology environment.
  • Availability five days per week during designated working hours.
  • Ability to work from within the United States.
  • Ability to remain seated for extended periods, typically seven to eight hours per day.
  • Ability to operate computer and phone systems, type, and use multiple software programs simultaneously.
