Senior Construction Contract Manager

Lead VEC’s commercial contracting function for construction technology services, managing agreements from negotiation through closeout. Advise on contractual risk, execution controls, compliance, and business insurance renewals.

Description

  • Establish and lead VEC’s commercial contracting function, overseeing agreements from intake and negotiation through signing and closeout.
  • Draft, review, and negotiate agreements, amendments, NDAs, and data and security terms with clients, general contractors, subconsultants, and vendors.
  • Work directly with client and general contractor legal or contracts teams to resolve contract terms.
  • Ensure subconsultant agreements reflect VEC’s obligations to clients.
  • Negotiate indemnity, defense, liability limits, insurance, payment protections, intellectual property, and other contractual risks.
  • Advise leadership on significant exceptions, risks, and trade-offs.
  • Manage approvals, final document versions, signing order, and execution records.
  • Confirm work is covered by a signed agreement or an approved exception before it begins.
  • Manage prequalification, vendor registration, and compliance questionnaire processes.
  • Track contractual obligations, notices, changes, renewals, disputes, and closeout.
  • Develop contract templates and a practical contract playbook.
  • Train project teams on contract standards and when to escalate issues.
  • Coordinate with the insurance broker and external counsel, identifying when specialist advice is needed.
  • Lead business insurance renewals, including applications, broker recommendations, officer approval, and policy records.
  • Report to the VP of Administration & Finance.

Requirements

  • At least seven years of contract review and negotiation experience, including substantial recent work in architecture, engineering, construction consulting, or construction technology services.
  • Hands-on experience drafting redlines and negotiating professional services agreements and proprietary general contractor subcontract forms with client legal or contracts teams.
  • Strong knowledge of professional services standards of care, indemnity and defense, liability limits, consequential damages, construction insurance, intellectual property, and payment protections.
  • Experience ensuring subconsultant agreements align with client obligations.
  • Experience developing or improving contract processes and execution controls.
  • Bachelor’s degree or equivalent relevant experience.
  • Proficiency with Microsoft Word track changes and document comparison tools.
  • Experience using contract lifecycle management or document management platforms, or comparable systems for intake, approvals, and records.
  • Proficiency with e-signature tools such as DocuSign or Adobe Acrobat Sign.
  • Proficiency with prequalification and vendor registration platforms such as ISNetworld, Avetta, or client portals.
  • Working knowledge of Excel or Smartsheet.
  • Sound independent judgment and the ability to identify when leadership or specialist guidance is needed.
  • Ability to explain contract risks clearly to colleagues without contract expertise.
  • Comfort working initially as a senior individual contributor without direct reports.
  • Willingness to train project teams.
  • Preferred: experience coordinating business insurance renewals; familiarity with AIA or ConsensusDocs forms; experience with prequalification platforms, data and security terms, or international service delivery; a JD, paralegal training, or contract management certification.
