Lead Corporate Counsel

Lead GitLab’s corporate legal work across securities, public company reporting, governance, and strategic transactions.

Description

  • Oversee securities and public company disclosures, including SEC filings, quarterly reports, earnings releases, proxy materials, and investor presentations.
  • Advise on corporate governance, board and committee operations, stockholder meetings, corporate approvals, equity plans, executive compensation, and compliance.
  • Guide complex legal entity matters across jurisdictions, from formation and maintenance to reorganizations, intercompany agreements, and wind-downs.
  • Support mergers, acquisitions, and other strategic deals through due diligence, documentation, approvals, signing, closing, and integration.
  • Select and manage outside counsel across jurisdictions.
  • Assess legal and business risks, advise senior stakeholders on options, and track legal developments.
  • Develop and refine playbooks, checklists, templates, and workflows; train junior legal colleagues and cross-functional partners.
  • Report to the Senior Director, Associate General Counsel, Corporate & Compliance.
  • Partner with Accounting, Corporate Development, Finance, Investor Relations, People, Product, Stock Administration, Tax, and Treasury.

Requirements

  • Bring at least six years of relevant legal experience, including law firm work advising US-listed public companies on securities law, corporate governance, and public company reporting.
  • Hold a Juris Doctor (JD) degree.
  • Maintain active admission to a US state bar.
  • Independently handle complex legal matters and cross-functional projects, balancing competing priorities and completing work with limited direction.
  • Communicate clearly in writing and conversation, explain technical legal issues to non-lawyers and senior leaders, and build trusted working relationships.
  • Research unfamiliar legal questions, weigh risks against business goals, and turn recommendations into action.
  • Have experience improving legal processes, templates, policies, or other scalable resources.
  • Work collaboratively with a remote, globally distributed team across time zones and cultures.
  • Be willing to use GitLab in day-to-day work.
