Senior Commercial Transactions Counsel

Advise The Cigna Group on commercial agreements, including procurement, technology, software, SaaS, licensing, data, and vendor contracts. Work with enterprise teams on risk, compliance, contract governance, disputes, and strategic transactions.

Description

  • Provide legal guidance for U.S. and global contracting activities across the enterprise.
  • Draft, review, negotiate, and manage consulting, services, technology, software, SaaS, licensing, data, and vendor agreements.
  • Work with Procurement and business stakeholders to structure transactions that balance legal, regulatory, operational, and business goals.
  • Advise on commercial contracts, risk allocation, compliance obligations, and contract governance.
  • Assess legal and contractual risks arising from third-party engagements.
  • Help resolve vendor disputes and negotiate practical, business-aligned outcomes.
  • Create and maintain contract templates, playbooks, negotiation guidance, and standard provisions.
  • Coordinate international contracting matters with global legal colleagues and business partners.
  • Develop and deliver training on contracting, vendor management, and related legal topics.
  • Support mergers and acquisitions, financing transactions, and other strategic enterprise initiatives.
  • Partner with Compliance, Privacy, Information Protection, Information Technology, Procurement, and operations teams.
  • Oversee outside counsel on specialized matters.
  • Lead stakeholder discussions to gather information, align priorities, and advance business objectives.
  • Help improve processes and evolve contracting and governance practices.
  • Share legal knowledge and subject matter expertise across the Legal organization.
  • Develop, implement, and coordinate contracting and governance strategies.
  • Identify potential third-party contract non-compliance risks proactively.

Requirements

  • Hold a Juris Doctor (JD).
  • Maintain an active license in good standing in at least one U.S. jurisdiction.
  • Have at least five years of experience negotiating and drafting commercial contracts.
  • Bring substantial experience supporting vendor, procurement, technology, consulting, and services transactions.
  • Experience in procurement, sourcing, vendor management, or commercial operations is preferred.
  • Demonstrate strong contract drafting, negotiation, communication, and relationship management skills.
  • Identify legal issues, assess risk, and provide practical advice grounded in business needs.
  • Bring experience with technology transactions, intellectual property, privacy considerations, and complex commercial arrangements.
  • Experience in healthcare, pharmacy, or another highly regulated industry is preferred.
  • Show the ability to influence and collaborate in a matrixed organization.
  • Use strong analytical, problem-solving, and decision-making skills.
  • Stay highly organized, attend closely to detail, and manage multiple priorities.
  • Build strong professional relationships and work with stakeholders at every organizational level.
  • Work independently and exercise sound judgment in complex situations.
  • Communicate effectively through presentations to senior leaders and business stakeholders.
  • When working from home, have cable broadband or fiber internet with at least 10 Mbps download and 5 Mbps upload.
