- Draft and revise commercial agreements, including SaaS MSAs, cloud service agreements, SOWs, DPAs, NDAs, professional services agreements, security exhibits, reseller and channel agreements, and vendor and procurement contracts.
- Negotiate terms ranging from routine to complex using approved playbooks, fallback positions, and escalation processes.
- Review, revise, and negotiate agreements supplied by customers or vendors.
- Assess contractual and business risks, referring unusual intellectual property, compliance, regulatory, or liability issues to legal counsel.
- Work with Sales, Customer Success, Procurement, Finance, Revenue Operations, Information Security, and Legal leadership.
- Triage contract requests, prioritize work around quarter-end deadlines, and maintain reliable turnaround times.
- Guide internal teams on contract terms, policies, approval processes, and risk reduction.
- Create and maintain contracting playbooks, templates, fallback clause libraries, and standard operating procedures.
- Manage contract lifecycle activities in the CLM platform.
- Monitor contracting metrics and provide insights to improve operations.
- Promote AI-assisted contract review, automated workflows, and self-service contracting.
- Create and deliver contracting training and self-service resources.
- Report to the Director of Commercial Legal (Cloud & SaaS).
Zahteve
- At least 7 years of experience in dedicated contract management or commercial transactions.
- Substantial experience at a fast-paced technology company.
- Hands-on experience independently drafting, revising, and negotiating high-value commercial agreements from initial drafting through execution.
- In-depth understanding of enterprise SaaS business models, licensing, and service level agreements (SLAs).
- Working knowledge of data security schedules and privacy principles, including GDPR and CCPA/CPRA.
- Demonstrated ability to lead sophisticated negotiations.
- Excellent written and verbal communication skills.
- Ability to explain nuanced legal concepts clearly and concisely to colleagues outside the legal function.
- Highly organized, detail-oriented, self-directed, collaborative, and team-oriented approach.
- Bachelor’s degree, a CPCM or CCCM certification, a paralegal certificate, or equivalent practical experience.
