Counsel, Biopharma Commercial Contracts – Morrisville, NC (Onsite)
Advise FUJIFILM’s global biopharma CDMO business on commercial contracts, intellectual property, regulatory risk, and customer programs. Negotiate agreements and support legal matters across international operations.
Descriere
- Draft, review, and negotiate commercial agreements, including MSAs, SOWs, supply, development, manufacturing, services, quality-related, license, and NDA agreements
- Advise Commercial, Program Management, and other business teams on legal and contractual issues arising from customer collaborations, bids, and ongoing programs
- Assess legal, regulatory, and business risks affecting CDMO and life-sciences operations, then recommend practical mitigation strategies
- Refer material, novel, or high-risk matters to Senior Counsel, the Assistant General Counsel, or relevant subject-matter experts
- Manage an assigned caseload, balancing business priorities, risk, and deadlines while communicating progress and recommendations
- Advise on non-contentious intellectual property provisions, including licensing, background and foreground IP, and know-how
- Prepare briefings and recommendations for business teams and management on contractual, legal, and compliance matters
- Create and refine templates, playbooks, guidance, and contracting standards across FLBG
- Develop and deliver legal training for business stakeholders
- Advance legal processes and technology, including contract lifecycle management, document management, data insights, and responsible emerging-technology use
- Coordinate with internal subject-matter experts and approved outside counsel on specialized legal matters
- Support dispute prevention and resolution, along with legal assistance for HR, EHS, Quality, Capital Projects, and Compliance
- Partner with legal, compliance, and business colleagues in the United States, United Kingdom, Denmark, and throughout FUJIFILM’s global organization
Cerințe
- Bachelor’s degree and Juris Doctor from an accredited law school; academic honors are preferred
- Admission in good standing to at least one U.S. state bar; North Carolina admission is preferred
- Three to eight years of relevant experience in a law firm, in-house legal department, or a combination of both
- Experience supporting CDMO, life-sciences, pharmaceutical, biotechnology, or health-care businesses is preferred
- Strong commercial-contracting experience, including complex services, development, manufacturing, supply, licensing, and confidentiality agreements
- Sound judgment and the ability to resolve issues independently within established frameworks
- Ability to identify matters requiring escalation or specialist input
- Strong negotiation, writing, and presentation skills
- Pragmatic, analytical, and customer-focused approach to problem solving
- Ability to manage a substantial workload, prioritize critical matters, and meet deadlines in a dynamic, global, matrixed environment
- Familiarity with life-sciences legal and compliance topics, including GMP interfaces, data privacy, competition, anti-bribery, and pharmaceutical regulation, is preferred
- Familiarity with international contracting and multijurisdictional matters is preferred
- Proficiency with modern legal technology, including document management, electronic signatures, collaboration platforms, and contract lifecycle management tools
- Willingness to evaluate responsible applications of AI and emerging technologies
