Transaction Legal Counsel

Manage legal documentation, KYC/AML, and closings for Tangible’s private markets liquidity platform. Support cross-border secondary transfers and NAV lending transactions worldwide.

Apraksts

  • Prepare and negotiate documents for secondary and NAV lending transactions, including NDAs, LOIs, purchase and sale agreements, transfer agreements, and credit agreements.
  • Review fund documents, including LPAs, offering materials, and side letters, to determine transfer rules, consent needs, and closing constraints.
  • Coordinate global closings with buyers, sellers, fund managers, administrators, custodians, lenders, and compliance teams.
  • Ensure legal and operational deliverables are completed accurately and on time.
  • Manage KYC/AML onboarding, including identity checks, beneficial ownership reviews, and regulatory compliance.
  • Strengthen legal operations by improving templates, playbooks, checklists, and standard processes.
  • Guide internal teams on legal obligations, transaction feasibility, and risk.
  • Work with legal, operations, deal teams, and platform workflows.

Prasības

  • At least five years of post-qualification experience in transactional law, compliance, transaction services, or financial services.
  • Experience in investment banking, Big Four advisory, private equity, or an in-house legal team is preferred.
  • Familiarity with US and/or UK law-governed agreements in cross-border settings.
  • Experience supporting or managing multi-party transaction execution and closings.
  • Working knowledge of KYC/AML and regulatory compliance for financial transactions.
  • Strong organisational and communication abilities.
  • Ability to manage several workstreams at once.
  • Experience in financial services, private markets, or fintech platforms is an advantage.
  • Experience coordinating multi-party closings with lenders, fund managers, administrators, custodians, and institutional investors is an advantage.
  • Comfort working across international time zones and cultures is an advantage.
