Senior Capital Markets Counsel at Vanguard (Hybrid)
Advise Vanguard’s fixed income research, trading, and portfolio management teams on capital markets transactions, securities regulation, and trading matters. Support regulatory developments, cross-border fixed income activity, transaction documentation, and related policies.
Tavsif
- Act as the principal legal advisor to fixed income research, trading, and portfolio management teams
- Provide guidance on Securities Act of 1933 and Securities Exchange Act of 1934 matters
- Advise on public and exempt offerings, resale and trading restrictions, market abuse, and insider trading
- Counsel private-side teams on material nonpublic information, information barriers, and wall-crossings
- Review and negotiate offering and transaction documents, including offering memoranda, purchase agreements, indentures, credit agreements, assignment documents, and confidentiality agreements
- Advise on trading and market structure topics, including best execution, TRACE and other reporting obligations, Treasury and fixed income regulation, and counterparty documentation
- Support cross-border investment and trading matters involving U.S., Canadian, UK, and European markets
- Track, interpret, and communicate regulatory changes affecting fixed income funds
- Develop and maintain related policies, procedures, and training materials
- Collaborate with Compliance, Risk, Operations, and other Legal teams
- Oversee outside counsel when required
Talablar
- At least five years of relevant legal experience at a leading law firm or in-house
- Juris Doctor (J.D.) degree
- Active membership in good standing with at least one U.S. state bar
- Eligibility for admission to the relevant state bar
- Substantial experience with the Securities Act of 1933, including registration requirements and exemptions, Rule 144A, Regulation S, and Rule 144
- Substantial experience with the Securities Exchange Act of 1934, including Section 10(b), Rule 10b-5, insider trading, and material nonpublic information
- Demonstrated knowledge of fixed income instruments and markets, including debt security issuance, structuring, trading, and settlement
- Familiarity with investment-grade and high-yield corporate bonds; U.S. Treasuries, agency, sovereign, and supranational debt; emerging markets debt; RMBS and CMBS; ABS, CLOs, structured products, and securitizations; bank and leveraged loans; private placements; Rule 144A and Regulation S securities; and distressed debt and restructuring matters
- Experience with capital markets transactions and fixed income trading and investment activities
- Strong analytical, drafting, and negotiation capabilities
- Sound judgment and the ability to provide practical, commercially focused advice in a fast-moving trading environment
- Excellent communication and stakeholder management abilities
- Experience advising investment advisers, asset managers, broker-dealers, banks, or other financial institutions preferred
- Experience supporting fixed income research and trading desks, portfolio managers, or investment management businesses preferred
- Experience advising UCITS funds and other non-U.S. investment vehicles preferred
- Experience with cross-border investment and trading matters involving UK and European markets preferred
