Tavsif

  • Support economic development and incentives matters
  • Coordinate document flow across commercial transactions
  • Draft, review, and organize FILOT and JDC incentive agreements
  • Work with government agencies, economic development offices, and client stakeholders to support compliance and progress
  • Maintain closing checklists and timelines for development transactions
  • Track milestone performance and reporting duties for state and local incentive packages
  • Prepare corporate governance documents and filings for domestic and multi-jurisdictional entities
  • Draft and update NDAs, service agreements, and vendor contracts
  • Organize M&A data rooms, diligence materials, and closing binders throughout the transaction lifecycle
  • Review the status of 20+ active matters and flag potential bottlenecks
  • Control versions of negotiated agreements and related documents
  • Keep digital filing systems and document repositories accurate and organized

Talablar

  • Three to five years of experience in business transactions, M&A, or a related legal setting
  • Demonstrated experience handling document-intensive workflows and version control
  • Advanced Microsoft Word skills, familiarity with AI tools, and proficiency in Adobe and PDF management
  • Exceptional attention to detail, with strong accuracy in document formatting
  • Ability to own assigned work and independently attempt to resolve issues
  • Comfort moving between focused routine work and fast-paced, high-intensity deal cycles
  • Professional communication skills for drafting clear, business-focused correspondence to clients and external contacts
  • Bachelor’s degree or equivalent professional experience preferred
  • Experience with CLIO or comparable legal practice management or time-tracking software strongly preferred
  • Currently residing in the Philippines and legally authorized to work there
  • Reliable computer, high-speed internet connection, and a quiet dedicated home workspace
