- Oversee compliance with SEC rules, securities laws, and NYSE requirements
- Prepare and review public company filings, including Forms 10-K, 10-Q, and 8-K, proxy materials, and registration statements
- Manage Section 16 compliance and reporting
- Advise on corporate governance, executive compensation, equity plans, and investor relations
- Coordinate annual shareholder meetings, from proxy preparation through meeting logistics
- Guide mergers, acquisitions, and other corporate transactions through due diligence, drafting, negotiation, and closing
- Support equity and debt offerings and other capital markets transactions
- Manage corporate secretarial work, including board materials, minutes, resolutions, and subsidiary administration
- Advise executive leaders and cross-functional partners with practical legal guidance
Zahteve
- Hold a Juris Doctor degree from an accredited law school
- Maintain active, good-standing membership in at least one U.S. state bar
- Bring at least three years of relevant corporate legal experience, including work at a top-tier law firm
- Have experience drafting, reviewing, and advising on SEC filings, including Forms 10-K, 10-Q, and 8-K, proxy statements, and registration statements
- Have supported corporate transactions such as mergers and acquisitions, financings, or other strategic deals
- Know Delaware corporate law, securities law, and public company governance requirements
- Provide practical, business-focused legal advice to executives and cross-functional partners
- Communicate clearly in writing and verbally, including explaining complex legal issues to non-lawyers
- Be authorized to work in the United States without requiring visa sponsorship now or in the future
- Preferred: In-house legal experience supporting a public company
- Preferred: Experience advising on NYSE listing standards and compliance
- Preferred: Experience with Section 16 reporting, executive compensation, equity administration, and shareholder meeting processes
- Preferred: Experience supporting equity and debt offerings and other capital markets transactions
