Senior Counsel, Investment Fund Structuring — Innocap Toronto Hybrid

Lead investment fund structuring and legal documentation for Innocap’s global managed-account platform. Advise institutional investors across US, EU, Cayman, and Canadian structures.

Descriere

  • Report to Innocap’s Global Head of Structuring
  • Design and implement investment fund structures for dedicated managed-account clients
  • Draft and negotiate investment management agreements, limited partnership agreements, disclosure materials, and service-provider contracts
  • Lead structuring work for sophisticated investors, including asset owners and asset allocators
  • Develop, implement, and maintain legal structures across the US, EU, Cayman, and Canada
  • Draft and negotiate client agreements and fund organizational and governing documents
  • Prepare and review offering materials, including prospectuses, supplements, letter agreements, and subscription documents
  • Negotiate agreements with external service providers
  • Participate in client presentations and meetings
  • Manage client relationships and collaborate with risk, due diligence, investor relations, accounting, operations, and compliance teams

Cerințe

  • Juris Doctor (J.D.) or equivalent qualification is required
  • Membership in a relevant bar association
  • At least five years of experience working with investment fund law
  • At least five years of experience drafting and negotiating agreements
  • Strong knowledge of securities and financial-market legal and regulatory frameworks in the US and Cayman
  • Ability to navigate complex legal structuring matters effectively
  • Strong relationship-management skills and the ability to explain information to internal and external stakeholders, including clients
  • Highly detail-oriented, thorough, resourceful, organized, and able to manage work within required timelines
  • Excellent written and spoken English communication skills
  • French proficiency is considered an asset
