Legal Manager, Commercial Contracts
Advise TGP International’s leadership on contracts, compliance and commercial operations in Cairo. Coordinate external counsel and legal matters across jurisdictions.
Descriere
- Draft, review and negotiate a range of commercial agreements, from supplier and service contracts to licences and operational agreements.
- Review letters of intent, term sheets, proposals and contract materials for tenders and RFPs.
- Advise on commercial terms, contractual duties and legal risks, proposing practical ways forward.
- Prepare legal correspondence, including notices, acknowledgements, NOCs and undertakings.
- Prepare documents for execution and coordinate approvals and signatures.
- Provide ongoing legal guidance to the Leadership Team and relevant departments.
- Draft and review employment contracts and related documents in collaboration with HR.
- Prepare and coordinate powers of attorney, board and shareholder resolutions, and other corporate documents.
- Review and update internal policies, terms and conditions, privacy documents and governance materials.
- Support corporate compliance and company secretarial work, coordinating with local advisers as required.
- Spot significant legal, regulatory and commercial risks and escalate them.
- Assist with complex or high value agreements, tailored negotiations, investment and shareholder agreements, joint ventures and corporate restructurings.
- Coordinate specialist advice on intellectual property, data protection, regulatory matters and other legal topics.
- Work with external counsel on disputes, settlements, litigation and arbitration.
- Coordinate legal advice across jurisdictions and determine when local or specialist counsel is needed.
- Oversee external legal providers, including their scope, fee proposals, budgets, service quality and invoices; obtain internal approval before incurring additional costs.
- Set up a clear process to receive, prioritise and track legal requests.
- Keep organised records of contracts, legal advice, approvals and important deadlines.
- Track contractual obligations, renewals and termination notice periods.
- Create standard templates and improve legal workflows.
- Report monthly on completed, active and pending matters, major risks and external legal costs.
- Provide prompt support for both routine and urgent matters.
Cerințe
- Law degree and a relevant professional legal qualification.
- Demonstrated experience in an in-house legal team or commercial law firm, with the ability to handle matters independently.
- Strong background in drafting and negotiating commercial contracts.
- Good knowledge of Egyptian law and experience coordinating legal work across jurisdictions; familiarity with the UAE, Saudi Arabia or the wider GCC is an advantage.
- Excellent written and spoken English and Arabic.
- Strong commercial judgement and skill in explaining legal issues clearly to colleagues outside the legal team.
- Excellent organisation, attention to detail and ability to balance competing deadlines.
- Experience overseeing external counsel and legal budgets.
- Discretion, integrity and professionalism.
- Experience in hospitality, food and beverage, consulting, design, events or a related sector is an advantage.
