Descriere

  • Lead AI provisions in customer, partner, and vendor agreements, covering training and improvement rights, de-identification, aggregation, model and output ownership, human oversight, performance commitments, transparency, explainability, and AI risk allocation.
  • Create and maintain standard AI contract language, including approved fallback positions.
  • Negotiate data-use and data-rights provisions involving secondary use, derived data, retention, deletion, and downstream limitations.
  • Advise Product and Engineering on planned AI features and identify legal constraints arising from design decisions.
  • Monitor AI regulation and healthcare-sector guidance and convert developments into contract and product advice.
  • Translate privacy, compliance, and security requirements into contract language, standard provisions, and fallback positions.
  • Negotiate BAAs, data processing agreements, data protection schedules, and security exhibits.
  • Address HIPAA, state health privacy, consumer privacy, offshore access, and subcontractor restrictions.
  • Escalate non-standard positions to the Chief Privacy Officer and Compliance while helping improve contracting standards.
  • Structure provisions addressing IP ownership, licensing scope, feedback, and product improvements.
  • Resolve licensing questions involving open-source software and third-party models and data.
  • Support IP protection efforts, including invention capture, trade-secret practices, and trademark matters.
  • Draft, negotiate, and finalize MSAs, SOWs, SaaS and data agreements, reseller and channel contracts, vendor and technology agreements, NDAs, and government subcontracts.
  • Manage transactions independently from initial draft through signature while defining negotiation goals and timelines.
  • Improve templates and playbooks to shorten routine contracting cycles.
  • Advise the business on commercial risk and practical mitigation options.
  • Work with Sales and Client Success on active deals and renewals, including customer meetings and negotiations.
  • Explain AI, data-use, privacy, and IP positions to commercial customers and their counsel.
  • Create talk tracks, FAQs, and one-page materials for Sales and Client Success.
  • Give clear direction on standard, negotiable, and escalated matters.

Cerințe

  • Earned a JD from an accredited law school and maintain active, good-standing membership in at least one U.S. state bar.
  • Bring 8+ years of commercial contracting experience from private practice, in-house work, or both, including substantial in-house experience.
  • Demonstrated experience owning AI and data-rights provisions in commercial contracts, including training rights, model and output ownership, and data-use restrictions.
  • Strong working knowledge of HIPAA and health-data privacy, including BAAs, de-identification standards, and PHI handling in a vendor or business-associate role.
  • Substantive software or data-related IP experience covering licensing, ownership structures, and open-source issues.
  • Experience in healthcare, such as payer, payment integrity, health technology, provider, or a closely related environment.
  • History of partnering directly with Sales or Client Success, conducting client negotiations, and explaining legal positions to non-lawyers.
  • Ability to work within privacy and compliance controls and escalate matters that exceed approved standards.
  • Sound judgment when advising a fast-moving business on unsettled issues without unnecessarily blocking or approving transactions.
  • Preferred: experience selling to or purchasing from health plans, with familiarity in payer procurement and security reviews.
  • Preferred: exposure to government healthcare contracting, including CMS, state Medicaid, or federal subcontracts.
  • Preferred: experience developing contract templates, playbooks, or a deal desk.
  • Preferred: familiarity with emerging AI governance frameworks for regulated industries.
