Vanguard Associate General Counsel, Fund Governance

Serve as Associate General Counsel advising Vanguard fund boards, committees, and affiliated boards. Counsel trustees and executives on governance, fiduciary duties, and regulatory matters.

Description

  • Provide strategic legal advice on corporate governance matters
  • Advise trustees, directors, senior executives, and stakeholders on legal requirements, fiduciary duties, governance practices, and board procedures
  • Hire, evaluate, and supervise crew; provide training and guidance; establish performance standards; conduct reviews; and make compensation decisions
  • Support governance and corporate secretary activities for the Vanguard Funds Board of Trustees, its committees, and related fund boards
  • Coordinate meetings, agendas, board materials, resolutions, minutes, annual calendars, governance policies, and follow-up actions
  • Work with attorneys and professionals in the Office of the Corporate Secretary and collaborate with fund product, compliance, risk, and business teams
  • Review legal and governance documents and provide guidance on board and committee materials
  • Track and assess legislative, regulatory, and governance developments and explain their implications to internal stakeholders
  • Advise on complex operational and corporate governance matters
  • Support governance activities for affiliated company boards and changing business needs
  • Direct and oversee outside counsel when appropriate
  • Keep current on applicable law, Vanguard’s business, and the investment industry
  • Contribute to special projects and complete other assigned responsibilities

Requirements

  • At least ten years of relevant legal experience
  • Substantial experience in corporate governance, board advising, investment management, financial services, or another regulated sector
  • Deep understanding of governance practices, fiduciary duties, board procedures, and corporate law
  • Knowledge of the Investment Company Act of 1940, Investment Advisers Act of 1940, and investment product governance is preferred
  • Experience with registered funds, alternative investments, or comparable areas is desirable
  • Demonstrated ability to manage complex relationships with boards and senior stakeholders
  • Sound judgment when handling sensitive matters and navigating fiduciary duties
  • Strong communication and strategic thinking capabilities
  • Ability to distill complex legal and business issues into practical guidance
  • Ability to work effectively with regulatory and product subject matter experts
  • Ability to influence senior leaders
