Associate Corporate Counsel – Commercial Agreements

Description

  • Draft and negotiate commercial agreements, including NDAs, MSAs, SOWs, SaaS, software, and data agreements
  • Partner with stakeholders across Voleon and its affiliates on legal matters
  • Advise on commercial issues, business risks, and negotiations
  • Manage commercial negotiations from initial review through signing
  • Work directly with counterparties and their lawyers
  • Create and refine contract templates, negotiation guidance, playbooks, and related resources
  • Assist with corporate matters such as entity governance, records, structuring, intellectual property, trademarks, and real estate
  • Coordinate with the Legal team and cross-functional partners on legal, regulatory, and business issues
  • Find ways to improve legal operations and assume additional duties as the business develops
  • Report to the Corporate Counsel

Requirements

  • Hold a J.D. from an accredited U.S. law school
  • Maintain active, good-standing membership in at least one U.S. state bar
  • Have 2–4 years of relevant legal experience, including work at a leading law firm
  • Bring substantial experience drafting and negotiating commercial agreements, including MSAs, SOWs, SaaS or technology contracts, data agreements, and NDAs
  • Have negotiated commercial agreements on both the customer and vendor sides
  • Demonstrate strong contract drafting, issue-spotting, and negotiation abilities
  • Assess legal risks in light of business goals and offer practical, commercially focused advice
  • Communicate clearly and effectively in writing and conversation
  • Work productively with legal colleagues and non-legal stakeholders
  • Stay organized and manage multiple matters independently in a fast-moving setting
  • Show sound judgment, curiosity, attention to detail, ownership, and discernment about when to escalate or seek input
  • Preferred: experience in technology or commercial transactions, or a similar corporate practice at a leading law firm
  • Preferred: prior in-house commercial counsel experience
  • Preferred: experience creating contract templates or negotiation playbooks, or improving contracting processes
  • Preferred: exposure to corporate matters such as entity governance, intellectual property, trademarks, real estate, or entity structuring
  • Preferred: interest in broadening expertise across corporate and commercial legal work
