Legal Counsel, Venture Capital (Part-Time Hybrid)
Advise Main Sequence on venture capital investments, portfolio company matters and fund compliance. Partner with the General Counsel to develop AI-enabled legal workflows.
Descriere
- Lead legal work for new and follow-on investments from initial structuring and drafting through completion.
- Prepare and negotiate term sheets, subscription agreements, shareholders’ agreements, SAFEs, convertible notes and side letters.
- Conduct legal, intellectual property and corporate due diligence, reporting material risks to the investment team.
- Advise portfolio companies on board and shareholder approvals, secondaries, restructurings and exits.
- Instruct external counsel on larger or more complex transactions as needed.
- Support legal and compliance processes, including ESVCLP obligations.
- Review commercial contracts, NDAs and vendor agreements.
- Manage templates, precedents and the legal knowledge base.
- Apply AI tools to drafting, contract review, diligence and summarisation, with appropriate verification.
- Develop repeatable AI-supported legal workflows and help set safeguards for confidentiality, accuracy and professional obligations.
- Collaborate with the General Counsel, investment team, portfolio companies and external counsel.
Cerințe
- Admission as a lawyer in Australia with 3–5 years’ post-qualification experience.
- Experience in venture capital, either at a venture-focused firm or within a VC-backed startup.
- Strong drafting and negotiation capabilities.
- Strong AI literacy, including routine use of tools such as Claude for drafting, review and research.
- Ability to work independently, manage multiple active deals and recognise when escalation is needed.
- Sound judgement regarding confidentiality and conflicts of interest.
- Familiarity with Australian venture capital documents, market practice and the ESVCLP regulatory framework is desirable.
- Transactional experience in other jurisdictions, such as the United States, is desirable.
- Exposure to deep tech legal matters, including IP ownership, university spin-outs and licensing, is desirable.
- Experience creating templates, playbooks or legal operations processes is desirable.
